1. Introduction

Welcome to Tranzwa.

These Terms & Conditions govern your access to and use of the Tranzwa platform, including our website, merchant dashboard, and WhatsApp payment services (collectively, the “Services”).

By creating an account or using the Services, you agree to be bound by these Terms.

Important Note

If you do not agree, you may not continue using Tranzwa.

2. Who We Are

Tranzwa is a WhatsApp-native payment solution enabling businesses to collect payments through invoices, QR codes, multi-gateway processing, and a unified dashboard.

3. Eligibility

To use Tranzwa, you affirm that:

  • You are at least 18 years old
  • You are authorized to act on behalf of the business you register
  • You provide accurate and truthful information during onboarding
  • You are legally allowed to collect payments in your region

Tranzwa reserves the right to approve or reject accounts at our discretion.

4. Account Registration & Verification

Merchants must complete the required onboarding steps including:

  • Email verification
  • Business profile setup
  • Payment setups
  • And other required compliance and documentation checks

You are responsible for:

  • Maintaining confidentiality of your login information
  • All activity that occurs under your account
  • Notifying us immediately if you suspect unauthorized access

5. Payment Processing & Gateways

Tranzwa does not directly process payments. Transactions are handled through third-party payment gateways.

By using Tranzwa, you agree to the terms of the gateway(s) you choose to connect with, including but not limited to:

  • Paystack
  • Flutterwave
  • Stripe
  • Paga
  • Opay
  • Palmpay
  • Interswitch
  • Moniepoint
  • Remita
  • Hydrogen
  • Any future gateway partners

Tranzwa is not responsible for:

  • Gateway downtimes
  • Settlement delays
  • Currency conversion outcomes
  • Chargebacks, reversals, or payment disputes
  • Gateway fees and settlement terms apply as defined by each provider

6. Multi-Currency Support

Where available, you may accept payments in multiple currencies. Exchange rates and currency conversion charges are controlled by the respective gateway, not Tranzwa.

7. Use of WhatsApp & Messaging Platforms

Tranzwa relies on WhatsApp to deliver invoices and payment requests. We do not control WhatsApp operations, availability, or associated policies.

Users must comply with:

  • WhatsApp usage rules
  • Anti-spam policies
  • Applicable telecommunications regulations

Tranzwa is not responsible for issues arising from blocked numbers, suspended accounts, or messaging limits.

8. Fees & Billing

Pricing plans, subscription charges, and transaction fees are publicly available on the Tranzwa Pricing Page. Fees may be updated periodically. You will be notified before any fee changes take effect.

9. Refunds & Disputes

Refunds to customers are handled directly by the merchant through the connected payment gateway. Tranzwa does not issue refunds or settle disputes between merchants and customers.

Merchants are solely responsible for:

  • Order fulfillment
  • Client service
  • Handling chargebacks
  • Transaction discrepancies with their Payment Gateways

10. Data Protection & Privacy

We process personal and transactional data only as necessary to provide the Services. Our practices are explained in the Tranzwa Privacy Policy, which forms part of these Terms. Merchants are responsible for obtaining any required customer consent before collecting or processing data.

11. Prohibited Use

You may not use Tranzwa for:

  • Illegal, harmful, or fraudulent activities
  • Money laundering or unauthorized financial services
  • Sale of restricted goods/services

Violation may result in account termination without refund.

12. Intellectual Property

All content, software, trademarks, branding, and platform designs are the property of Tranzwa or its licensors. You may not copy, reproduce, or reverse-engineer any part of the Services.

13. Platform Availability

We work to maintain reliable uptime — however services may be interrupted due to your chosen gateway, maintenance on our end, or force majeure events. We are not liable for losses caused by downtime of WhatsApp and payment gateways.

14. Termination

Tranzwa may suspend or terminate your account if:

  • You violate these Terms
  • Fraud or suspicious activity is detected
  • Payment obligations are not met

You may terminate your account anytime.

Some obligations survive termination (e.g. payment liabilities, disputes).

15. Amendments

We may update these Terms periodically. Continued use of the platform after changes means acceptance of the updated Terms.

17. Governing Law & Legal Jurisdiction

These Terms shall be governed by the laws of: Federal Republic of Nigeria

Any disputes shall be resolved under the courts of this jurisdiction.
